Rock Frogs By-Laws
ARTICLE I
1) This organization shall be known as The Rock Frogs.
ARTICLE II - Objectives
The Rock Frogs is a non-profit organization with a group of friends that have various 4-wheeling skill levels. Our intentions are to gather friends and fellow 4-wheelers together to do what we love best, 4-wheeling and the outdoors. Teaching and obeying proper trail etiquette for the purpose of keeping the trails open for future generations is an important goal for us. Anyone is welcomed to join in our fun.
ARTICLE III - Membership and Dues
1) Applicants must have a 4-wheel drive and a desire to get out on the trails.
2) Dues shall be $10.00 per membership year (January 1st to December 31st) or at time of acceptance. This amount will be for Rock Frogs functions, internet webpage, and two official vehicle logo decals. Any member whose dues are three months in arrears beyond January 1st shall no longer be considered an active member of the Rock Frogs. There will be no partial or full refund of dues for any reason.
3) Any funds, money or equipment, raised or donated by any means for the Rock Frogs will be the sole property of the Rock Frogs and its members.
4) All members shall know and follow proper trail etiquette, Forest Service, Tread Lightly and BLM rules and regulations.
5) Rock Frogs assumes no responsibility and cannot be held liable for any guests actions.
ARTICLE IV – Organizing Trail Runs, Events, and Meetings
1) Trail runs, events, and meetings will be organized using the Rock Frogs online forum.
ARTICLE V – Administration and Officers
1) The officers of the Rock Frogs shall consist of two Treasurers. Each position will run a term of one year with elections occurring at the end of each term.
ARTICLE VI – Election of Officers
1) Treasurers will be elected by a majority vote of the members.
2) Elections will occur in December with new officers taking office at the beginning of January.
3) Any officer of the Rock Frogs may be recalled by a majority vote of the Membership.
ARTICLE VII – Voting
1) Voting must be by a majority of the active members.
2) Voting will take place online on the Rockfrogs.org website or in person at a scheduled Rock frogs club meeting. Members may also vote via email or a forum proxy form given to another member prior to voting time.
3) In the event of a non election voting tie the reason for the vote will not pass. In the event of a tie election vote, the voting shall be restarted and continued until a majority vote is accomplished.
ARTICLE VIII – Expenditures and Finances
1) All monies received from all sources shall immediately be turned over to one of the Treasurers to be deposited in the bank account of the Rock Frogs.
2) Treasurers will be signer and co-signer, respectively, on the bank account, except in the event they are from the same family.
3) No withdrawal of funds, except for the yearly webpage suscription fee's and the non-profit registration fees, shall be made without a majority of the active members approval by voting online on the Rockfrogs.org website or in person at a scheduled Rock frogs club meeting.
ARTICLE IX – Amendments
1)The bylaws may be amended by a vote of the majority of active members either online or in person. The amended bylaws shall be presented first on the Rockfrogs.org website, one week prior to any vote being taken.
ARTICLE X – Dissolution of the Club
1) In the event that the Rock Frogs dissolves, all monies and equipment will be donated to a charity of the clubs choice. This will be decided at the time of dissolution.
